Terms of Service
These Terms govern your use of The Base Bid — the website, the weekly email, and every data product sold through it.
1. Agreement
These Terms govern your access to The Base Bid (the "Service"), including thebasebid.com, the weekly email, and any data product, report or file made available through it. The Service is published by K2 Business Strategies ("the Publisher", "we"). By using the Service or subscribing, you agree to these Terms. If you do not agree, do not use the Service.
We may amend these Terms. Material changes will be posted here with a revised date and, for paying subscribers, sent by email at least fourteen days before taking effect. Continued use after that date constitutes acceptance.
2. What the Service is
The Service publishes editorial content and compiled data concerning federal construction procurement. It is an information product.
The Service is not advice. Nothing published constitutes legal, financial, investment, accounting, procurement or bid advice, and nothing creates a professional or fiduciary relationship. You are solely responsible for the decisions you make, including bid, pricing, teaming and pursuit decisions.
The Publisher is independent. We are not affiliated with, endorsed by, or acting on behalf of any federal agency, department or instrumentality, or any contractor covered by the Service.
3. Accounts
You must be eighteen or older and provide accurate information. You are responsible for activity under your account and for keeping credentials secure. Tell us promptly through the contact form if you believe your account has been compromised.
4. Subscriptions, billing and renewal
Free tier
The weekly email is free. You may unsubscribe at any time using the link in every message.
Paid products
Data products are sold individually or by annual subscription. Prices are shown at checkout and are exclusive of any applicable taxes.
Automatic renewal
Annual subscriptions renew automatically at the then-current rate unless cancelled before the renewal date. Before each renewal we will email the address on file, not less than fifteen and not more than forty-five days in advance, stating the renewal date and the amount to be charged. You may cancel at any time through your account or the contact form; cancellation takes effect at the end of the paid term.
Price changes
Renewal prices may change. Any increase will be stated in the renewal reminder, and you may cancel before the renewal date to avoid it.
Refunds
Single-file purchases may be refunded within fourteen days if the file is materially defective or materially inconsistent with its published description. Annual subscriptions may be cancelled within fourteen days of the initial purchase for a full refund. After those periods fees are non-refundable except where required by law. Request a refund through the contact form.
Failed payment
If a payment fails, access may be suspended until it is resolved.
5. Licence and permitted use
Subject to these Terms and to payment, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service and any purchased file for your own internal business purposes only. A licence is granted per firm; people employed by the purchasing entity may use the files internally.
You may view, search, analyse and internally distribute purchased files within your firm, and quote short excerpts externally with attribution to The Base Bid.
You may not resell, sublicence, republish, redistribute or make available to any third party, in whole or in substantial part, any file or content; use the Service to build or train a competing product, dataset or model; scrape, crawl or systematically extract content; remove or alter proprietary notices; or share account credentials or download links outside the purchasing entity.
6. Intellectual property
Underlying source records are public U.S. Government data and are not themselves subject to copyright. The compilation, selection, arrangement, derived fields, scoring, analysis and presentation are the copyrighted work product of the Publisher. All trademarks, the publication name and the design of the Service are our property.
7. Accuracy, sources and derived data
The Service is compiled from public government records and other public sources. Those records contain errors, omissions and inconsistencies we do not control and cannot cure.
Fields we derive — scores, tiers, matches, confidence values, engagement windows, classifications — are analytical judgements, not facts and not predictions. They are labelled as derived in the files. Government estimates, programmed amounts and planning figures are requests or projections, not appropriations, awards or commitments.
We give no warranty of accuracy, completeness, currency or fitness. You are responsible for verifying anything you intend to rely on against the primary source, which we cite for every record.
We correct errors. Corrections run at the top of the next issue and are stamped onto the archived item. Report an error through the contact form.
8. Disclaimer of warranties
Nothing in this section limits any right that cannot lawfully be limited.
9. Limitation of liability
THE PUBLISHER'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS.
Nothing here excludes liability for fraud, wilful misconduct, or any liability that cannot lawfully be excluded.
10. Indemnity
You agree to indemnify and hold harmless the Publisher and its members, officers and contractors from claims, damages and reasonable legal fees arising from your breach of these Terms, your misuse of the Service, or your unauthorised redistribution of any file.
11. Termination
You may stop using the Service at any time. We may suspend or terminate access for breach, in particular unauthorised redistribution. On termination the licence in Section 5 ends and you must stop using and delete copies of the files, except copies you are required by law to retain. Sections 5 through 12 survive.
12. Governing law and disputes
These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-laws principles. You and the Publisher submit to the exclusive jurisdiction of the state and federal courts located in the Commonwealth of Massachusetts, and each party waives any objection to that venue.
Informal resolution first
Before filing any claim, the parties will attempt in good faith to resolve the dispute for thirty days following written notice.
Demand for relief
Any consumer claim under M.G.L. c. 93A requires a written demand for relief, identifying the claimant and reasonably describing the unfair or deceptive act and the injury suffered, delivered to the Publisher at least thirty days before filing suit. Send it to:

Limitations
Claims must be brought within one year of the event giving rise to them, to the extent permitted by law, and must be brought individually rather than as a class or representative action.
13. General
These Terms, with the Privacy Policy, are the entire agreement. If a provision is unenforceable, the rest remains in force. Failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a sale of the business.
